Corporate Governance Highlights
The Board of Directors of Health Net, Inc. (the "Board") has adopted Corporate Governance Guidelines to assist the Board in carrying out its fiduciary and other responsibilities effectively. The Guidelines reflect the Board's commitment to monitor the effectiveness of policy and decision-making, both at the Board and management level, with a view to enhancing long-term stockholder value.
The Guidelines outline the Board's role, goals, size, membership criteria, compensation, meeting attendance, leadership development and committees.
The Board reviews the Guidelines periodically and, upon the recommendation of The Governance Committee, may modify the Guidelines as appropriate from time to time to reflect the evolution of its corporate governance practices.
The Board has established Director Independence Standards as guidelines to assist it in determining director independence.
